By engaging with Influencia (referred to as "the Agency"), you agree to comply with the following terms and conditions. These terms outline the scope of services, responsibilities, and conditions for both parties in the collaboration process.
1. Services ProvidedThe Agency offers influencer marketing services, including but not limited to strategy development, influencer sourcing, campaign management, and analytics reporting. Services will be agreed upon in a formal contract and may vary based on client requirements.
2. Client ResponsibilitiesThe client agrees to provide all necessary information, materials, and approvals required for the execution of the influencer marketing campaign. Timely cooperation is essential to meet deadlines and ensure a smooth execution of the services.
3. Payment TermsPayment for services will be outlined in the service agreement and invoice. Clients are required to pay 50% of the total cost upfront before the commencement of the campaign, with the remaining 50% due upon campaign completion. Any additional costs, such as influencer fees, will be billed separately.
4. Campaign ChangesAny significant changes or adjustments to the agreed campaign scope, including influencer selection or content guidelines, must be requested in writing and may be subject to additional fees. The Agency will make reasonable efforts to accommodate changes, but these may impact the timeline and overall project scope.
5. ConfidentialityBoth parties agree to keep confidential any proprietary or sensitive information shared during the collaboration. This includes, but is not limited to, business plans, marketing strategies, and influencer contract terms. The Agency will not disclose client information to third parties without consent, except as required for campaign execution.
6. Ownership and RightsThe client retains full ownership of the content produced during the campaign, including any influencer-generated content, once the final payment is made. The Agency reserves the right to use selected campaign materials for promotional purposes, unless otherwise agreed in writing.
7. Cancellations and RefundsCampaigns canceled by the client prior to execution may incur a cancellation fee of 25% of the total project cost. If the campaign has already commenced, no refunds will be provided. The Agency reserves the right to terminate the agreement if the client fails to meet payment obligations or breaches the terms of this agreement.
8. LiabilityThe Agency is not liable for any loss or damage caused by the actions of third-party influencers or external partners. The Agency will make reasonable efforts to ensure the quality and success of the campaign, but cannot guarantee specific results, such as sales or follower growth.
9. Governing LawThese terms and conditions are governed by the laws of the United Arab Emirates. Any disputes arising from this agreement will be resolved in the courts of Sharjah, UAE.
10. Modifications to TermsThe Agency reserves the right to modify these terms and conditions at any time. Clients will be notified of any changes, and continued use of the Agency’s services constitutes acceptance of the updated terms.
